Welcome to Translate Channels! These Terms of Service ("Terms") govern your access to and use of the Translate Channels Slack application (the "App") and website (the "Site") provided by Translate Channels ("us", "we", or "our"). By using the App or Site, you agree to be bound by these Terms.

1. Subscription and Payment a. The App is offered on a subscription basis. By subscribing to the App, you agree to pay the subscription fee in accordance with the pricing and billing terms on the Site. b. Subscription payments are processed by Stripe, our third-party payment processor. By subscribing to the App, you agree to be bound by Stripe's terms of service and privacy policy. c. Your subscription will automatically renew at the end of each billing period, unless you cancel your subscription in accordance with section 2 of these Terms. d. We reserve the right to modify our pricing and billing terms at any time. If we do so, we will notify you by email and/or by posting a notice on the Site.
2. Cancellation and Refunds a. You may cancel your subscription at any time by visiting the Translate Channels home page in your Slack workspace and clicking on "Manage subscription". Please note that simply deleting the App from your Slack workspace does not cancel your subscription. b. We do not offer refunds for subscription fees already paid, except as required by applicable law.
3. Use of the App and Site a. You may use the App and Site only for lawful purposes and in accordance with these Terms. b. You may not use the App or Site in any manner that could disable, overburden, damage, or impair the App or Site or interfere with any other party's use of the App or Site. c. You may not use the App or Site to transmit any unsolicited or unauthorized advertising, promotional materials, or spam. d. You may not use the App or Site to engage in any activity that violates any laws or regulations, or infringes on the rights of any third party.
4. Intellectual Property a. The App and Site, including all content, features, and functionality, are owned by us or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. b. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our App or Site, except as follows: i. Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials. ii. You may store files that are automatically cached by your web browser for display enhancement purposes. iii. You may print or download one copy of a reasonable number of pages of the App or Site for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
5. Disclaimer of Warranties a. The App and Site are provided "as is" and "as available" without any representations or warranties, express or implied. We make no representations or warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to any warranties of merchantability, non-infringement, and fitness for particular purpose. b. We do not warrant that the App or Site will be uninterrupted, error-free, or free of viruses or other harmful components. c. We are not responsible for any harm to your computer system, loss of data, or other harm that results from your access to or use of the App or Site.
6. Limitation of Liability a. In no event will we be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with your use or inability to use the App or Site. b. We shall not be liable for any errors or omissions in the App or Site content or for any loss or damage of any kind incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the App or Site. c. The foregoing limitations of liability apply even if we have been advised of the possibility of such damages. d. Some jurisdictions do not allow the exclusion or limitation of certain warranties or consequential or incidental damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
7. Indemnification You agree to defend, indemnify, and hold harmless Translate Channels, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the App or Site, including, but not limited to, any User Contributions you make, any use of the App or Site's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the App or Site.
8. Termination We may terminate or suspend your access to all or any part of the App or Site at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate your subscription, you may do so as described in section 2(a). All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
9. Governing Law and Jurisdiction These Terms and your use of the App and Site shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. Any legal suit, action, or proceeding arising out of or relating to these Terms or the App or Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, or proceeding.
10. Entire Agreement These Terms constitute the entire agreement between you and Translate Channels regarding the use of the App and Site, superseding any prior agreements between you and Translate Channels relating to your use of the App or Site.
11. Changes to These Terms We may modify these Terms at any time, in our sole discretion. If we do so, we will notify you by email and/or by posting a notice on the Site. Your continued use of the App or Site after any such changes constitutes your acceptance of the new Terms.
